Merging the IT of two company groups across 15 locations

Whether an acquisition delivers the expected value is rarely decided by the purchase price. It's decided in the months that follow, when two established IT landscapes, two ERP worlds, and two working cultures have to come together, all while daily business continues uninterrupted.

The acquisition of the Baggerman Group by NORRES was precisely such a case: 15 locations worldwide, six different communication systems, heterogeneous network and ERP structures. And a timeframe of six months.

bitformer was involved early on – right from the IT due diligence before the purchase. The risks and dependencies that became apparent there formed the basis for the subsequent IT strategy. In implementation, bitformer managing director Chris Borgsdorf took on the role of Interim Head of IT – and therefore responsibility within the line, not just a consulting mandate.

IT carve-out of Undercover GmbH from the Bertelsmann Group

During an acquisition, two IT landscapes grow together. During a carve-out, the opposite happens – and that is incomparably more difficult: what has for years been taken for granted as coming from the group must suddenly be operated independently. Directory services, licences, firewalls, backup, telephony. All at once, and without a break in operations.

When Undercover GmbH spun off organisationally from the Bertelsmann Group, bitformer took over the IT implementation. Together with the internal IT team, the current state was first fully documented – servers, network, clients, licences, cloud services, security solutions – and from this an independent target state was built: virtualised servers, a dedicated Microsoft 365 tenant, a new network and security architecture, and a redesigned backup.

The result: IT that is owned and managed by the company itself. On time, without any disruption to ongoing business.
